So it looks like the answers are in, and I will clarify, (for myself).

Flanking does cause more damage, but am not clear on the degree of seperation of firing units for something to be "flanking".

Must run outside buildings.

Exhaustion takes some time to cure, but it can be cured. (The scenario I am playing is called Town Meeting I believe. I was sent the opening move so I didn't download it. A platoon(s) is exhausted in a burning town where there was prep arty fire. The town is in the center, there are 6 American tanks and 3 companies in 3 start areas). I think I am on turn 5 and they are still exhausted.
